These Terms & Conditions (“Terms”) govern your use of our website and telehealth services, including but not limited to mental health consultations, therapy, and related services provided through the Mindvibe platform. By using our website and services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you should not use our website or services.
User Responsibilities and Liability
1. Eligibility
Minimum Age: To use Mindvibe’s services, you must be at least 13 years old. If you are under 13, you may only use the services with the consent of your parent or legal guardian. The parent or guardian must agree to these Terms on your behalf and ensure that you adhere to the platform’s policies. If you are a legal guardian, you must provide proof of guardianship before using the services.
Legal Compliance: You affirm that you are legally capable of entering into a contract and using Mindvibe’s services in accordance with these Terms. You also confirm that your use of the services complies with all applicable laws and regulations in your jurisdiction.
2. Accurate Information
Personal Information: You are required to provide complete, accurate, and truthful information when creating an account, booking sessions, or engaging with the platform. This includes, but is not limited to, your name, date of birth, contact details, and relevant health history. Providing false or misleading information may result in the termination of your access to the services.
Health Information: You are responsible for providing complete and accurate health information, including current or past mental health diagnoses, medications, treatments, and any other details necessary for proper care. You understand that failing to disclose such information can affect the quality of care you receive and may increase the risk of harm.
Emergency Contact: You must provide an emergency contact who can be reached if necessary. In case of emergencies, this contact may be notified or involved in your care.
3. User Account
Creating an Account: When you register for an account with Mindvibe, you agree to create a secure username and password. You are solely responsible for maintaining the confidentiality of your account details. Mindvibe is not liable for any damages resulting from unauthorized access to your account, and you agree to immediately notify us if you suspect any unauthorized activity.
Account Security: You must ensure that all information in your account profile is accurate and up to date. Any changes to your contact details or health information should be promptly updated in your account. Failure to update this information could result in missed communications or suboptimal care.
4. Use of Services
Purpose of Use: You agree to use Mindvibe’s services solely for personal, non-commercial purposes. Mindvibe’s telehealth platform is intended for individuals seeking mental health services, including therapy, counseling, and psychological support.
Behavioral Expectations: You agree to interact with providers and other users in a respectful manner. Disrespectful, abusive, or harmful behavior towards Mindvibe’s staff, other users, or the platform itself is strictly prohibited. This includes harassment, discriminatory language, threats, and any other form of verbal or psychological abuse.
5. Prohibited Actions
Illegal Activities: You agree not to engage in any illegal activities while using Mindvibe, including but not limited to, committing fraud, distributing malware, or violating intellectual property rights. You also agree not to use the platform for any unlawful or unethical purposes.
Data Integrity: You agree not to interfere with, hack, or manipulate Mindvibe’s systems, databases, or services. This includes the use of bots, automated scripts, or other means of unauthorized access or data extraction.
Inappropriate Content: Uploading or sharing content that is illegal, offensive, or harmful (e.g., hate speech, explicit content, or harassment) is prohibited and may result in immediate suspension or termination of your account.
Non-Compliance: If you breach any of these prohibitions, Mindvibe reserves the right to suspend or terminate your account without notice.
6. Liability Platform
Limitations: You acknowledge that Mindvibe provides telehealth services, which include video, phone, and chat consultations. These services are not a substitute for emergency care or in-person healthcare, and Mindvibe cannot be held liable for any adverse outcomes resulting from the inability to provide physical examinations or in-person care.
Limitation of Liability: To the fullest extent permitted by law, Mindvibe will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the services. This includes any claims related to personal injury, emotional distress, loss of income, or any other damages resulting from the use of Mindvibe’s services.
User’s Responsibility: You are responsible for making decisions based on the information and guidance provided through Mindvibe’s services. You acknowledge that mental health treatment may not always produce specific results, and that therapy may involve emotional challenges or discomfort.
Telehealth-Specific Terms
1. Telehealth Services
Service Overview: Mindvibe offers telehealth consultations that connect you with licensed mental health professionals for therapy, counseling, and other mental health support services. These services are provided through secure video, phone, or chat sessions.
Mode of Communication: The platform’s telehealth services may be delivered through various communication methods, including:
Video Calls: A video conference with a licensed provider.
Phone Consultations: A phone call consultation with a provider.
Text/Chat: Secure messaging with a provider for certain mental health support.
2. Telehealth Limitations
Inability to Diagnose or Treat Certain Conditions: Telehealth is an effective form of care but has limitations. Certain conditions, especially those requiring immediate intervention (e.g., acute physical health crises or emergencies), may not be suitable for telehealth treatment. If you need urgent care, you are responsible for seeking help at a hospital or emergency services.
Technical Issues: Mindvibe cannot guarantee an uninterrupted telehealth experience. You acknowledge that technical problems, such as internet connectivity issues or device malfunctions, may occur. If a session is disrupted, both you and your provider will make reasonable efforts to resolve the issue or reschedule the session.
3. Confidentiality
Data Protection: Mindvibe adheres to strict confidentiality standards and complies with data protection laws, such as HIPAA (Health Insurance Portability and Accountability Act) in the U.S. All health-related data you share with Mindvibe is encrypted and stored securely.
Third-Party Providers: Mindvibe may use third-party service providers for communication or data storage. These providers are required to comply with the same data protection standards. However, while Mindvibe takes all necessary precautions, you understand that no system is completely secure.
Disclosures: Under certain circumstances, Mindvibe may be required to disclose information without your consent. This includes situations where there is a threat to your safety, the safety of others, or where disclosure is required by law (e.g., subpoenas, court orders).
4. Informed Consent
Understanding Telehealth: By engaging in telehealth services with Mindvibe, you consent to receiving care through electronic means, understanding both its benefits and limitations. This includes the fact that, while telehealth is a convenient and accessible service, it may not be appropriate for all situations.
Alternatives: You have the right to request in-person services at any time, and Mindvibe will make reasonable efforts to accommodate this request.
Right to Discontinue: You can discontinue telehealth sessions at any time, and you will not be penalized for doing so. However, if you stop treatment, it is your responsibility to ensure that you receive appropriate care from another provider.
5. Provider Qualifications
Licensing: All professionals providing telehealth services through Mindvibe are licensed and qualified in their respective fields. You may request a copy of your provider’s credentials and professional licenses.
State or Regional Licensing: Mindvibe ensures that providers are licensed to practice in the state or region where you are located. Telehealth providers may be restricted to treating patients within specific geographical areas, depending on licensing regulations.

Therapeutic Outcomes: While Mindvibe aims to provide high-quality care, you understand that no therapeutic treatment can guarantee specific outcomes. Treatment effectiveness may vary based on individual circumstances, including the nature of the issue, personal engagement, and other factors.
Personal Progress: You acknowledge that mental health treatment can be a long-term process that involves self-reflection, learning, and active participation. Progress may take time, and setbacks can occur.equest a copy of your provider’s credentials and professional licenses.
State or Regional Licensing: Mindvibe ensures that providers are licensed to practice in the state or region where you are located. Telehealth providers may be restricted to treating patients within specific geographical areas, depending on licensing regulations.
Payment and Insurance Terms
1. Payment for Services
Fees for Services: The fees for Mindvibe’s services are clearly displayed on the platform prior to booking and may vary depending on the type of service, provider qualifications, session length, or treatment plan selected. All prices are listed in the applicable currency and are subject to change at Mindvibe’s discretion. Any pricing changes will not affect sessions already booked and paid for.
Payment Authorization: By booking a session or subscribing to a service, you authorize Mindvibe to charge the payment method on file for all applicable fees, including session fees, subscription fees, cancellation fees, and any outstanding balances.
Payment Methods: Mindvibe accepts payment through approved electronic payment methods, including but not limited to credit cards, debit cards, and other digital payment services as made available on the platform. You are responsible for ensuring that your payment information is accurate, current, and valid.
Failed Payments: If a payment fails or is declined, Mindvibe reserves the right to suspend or restrict access to services until payment is successfully processed. Repeated failed payment attempts may result in account termination.
2. Insurance Coverage
Insurance Participation: Mindvibe may accept certain insurance plans depending on provider availability, geographic location, and applicable regulations. Insurance acceptance is not guaranteed and may vary by provider.
User Responsibility: It is your sole responsibility to verify whether your insurance plan covers telehealth mental health services and whether a specific Mindvibe provider is in-network. Mindvibe does not guarantee reimbursement by insurance providers.
Claims and Reimbursement: If insurance billing is available, Mindvibe may submit claims on your behalf. However, you remain financially responsible for all charges not covered by insurance, including co-payments, deductibles, denied claims, or out-of-network fees.
Changes in Coverage: If your insurance coverage changes or lapses, you are responsible for updating your account information immediately. Failure to do so may result in unexpected charges for which you are fully responsible.
3. Cancellations, Rescheduling, and No-Shows
Cancellation Policy: You may cancel or reschedule appointments in accordance with the cancellation policy displayed at the time of booking. Cancellations made outside the permitted window may be subject to a cancellation fee.
No-Show Policy: Failure to attend a scheduled session without proper cancellation (“no-show”) may result in being charged the full session fee. Repeated no-shows may lead to suspension or termination of services.
Provider Availability: If a provider cancels a session, you will not be charged for that session and may be offered a reschedule or refund, as applicable.
4. Refunds
Refund Eligibility: Refunds are not guaranteed and are issued at Mindvibe’s discretion unless otherwise required by law. Subscription fees, completed sessions, and no-show fees are generally non-refundable.
Billing Errors: If you believe you were charged incorrectly, you must notify Mindvibe within a reasonable time frame. Mindvibe will review the claim and, if an error is confirmed, issue an appropriate correction or refund.
5. Taxes and Additional Charges
Applicable Taxes: You are responsible for any applicable taxes, duties, or government charges related to your use of Mindvibe’s services, unless otherwise stated.
Additional Fees: Certain services may involve additional fees, such as extended sessions or specialized care. These fees will be disclosed before you agree to the service.
Termination and Suspension
1. Termination by User
You may terminate your account at any time by following the account closure process on the platform. Termination does not relieve you of responsibility for any outstanding fees or obligations incurred prior to termination.
2. Termination by Mindvibe
Mindvibe reserves the right to suspend or terminate your access to the platform, with or without notice, if you violate these Terms, engage in harmful or unlawful behavior, fail to make required payments, or misuse the services.
3. Effect of Termination
Upon termination, your right to access services will immediately cease. Certain provisions, including liability limitations, payment obligations, and dispute resolution clauses, will survive termination.
Disclaimers and Risk Acknowledgment
1. No Emergency Services
Mindvibe does not provide emergency mental health services. If you are experiencing a crisis or require immediate assistance, you must contact local emergency services or a crisis hotline. Providers may direct you to emergency care if they determine your situation requires immediate intervention.
2. Assumption of Risk
You acknowledge that participation in mental health services involves inherent risks, including emotional discomfort. You voluntarily assume all risks associated with your participation in telehealth services.
Governing Law and Dispute Resolution
1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Mindvibe operates, without regard to conflict of law principles.
2. Dispute Resolution
Any disputes arising from these Terms or your use of the services shall first be attempted to be resolved informally. If unresolved, disputes may be subject to binding arbitration or court proceedings as permitted by law.
Modifications to Terms
Mindvibe reserves the right to update or modify these Terms at any time. Updated Terms will be posted on the platform, and continued use of the services after such changes constitutes acceptance of the revised Terms.

Description of Services
The Site serves as a platform for users to learn about mental health disorders, explore treatment options, and connect with a Healthcare Provider, if desired (the “Services”). These Services may include:
- Information on depression, anxiety, and other behavioral health treatments.
- Connecting with licensed Healthcare Providers affiliated with MindVibe for treatment.
- Receiving ongoing mental health services, including psychiatric care.
- Tools and resources to monitor your care and progress.
Nature of Services
MindVibe reserves the right to modify, add, or discontinue Services at its sole discretion. If there are any changes to the Services, we will make reasonable efforts to inform you in a timely manner.
Healthcare Treatment
MindVibe offers access to mental health services, including diagnosis and psychiatry (e.g., medication prescriptions, excluding controlled substances) across Texas and California.
To receive these Services, you must:
Be at least 18 years old
While MindVibe provides the platform to connect with Healthcare Providers, the care you receive will be based on the professional judgment
of the Provider. Should you have concerns about your Provider’s care, you can file a complaint through Member Services via the patient portal or email contact@mindvibe.com.
Agreement to Terms
You agree to these Terms when you use our Services. Don’t use the Services if you don’t agree.
Privacy
Please review our Privacy Policy and Notice of Privacy Practices, which explain how we collect, use, and disclose your information. By using the Services, you acknowledge that your personal information is subject to these policies.
Changes to Terms
We may update the Terms at any time. If we do, we will notify you via the Site or by direct communication. Please review the Terms
regularly. Continued use of the Services after changes signifies your acceptance of the updated Terms. If you disagree with the updated Terms, stop using the Services.
Who May Use the Services?
Registration: You need to create an account (“Account”) to use MindVibe Services. Eligibility: You must be 18 or older, or authorized by a parent or guardian.
Accuracy: Make sure that the information in your account is correct and up to date. If you don’t do this, your Account could be suspended
or closed.
Account Protection: Keep your password confidential and notify us immediately of unauthorized use.
Feedback: We welcome feedback and suggestions for improvement. By submitting feedback to contact@mindvibe.com, you grant us a perpetual, royalty-free license to use it for any purpose.
Payment: Certain Services require payment. If you opt for a subscription or make other transactions, payment terms will apply, including those relevant to insurance use.
General: By purchasing a Subscription or making a payment, you authorize us (or our third-party payment processor) to charge you for the relevant fees. You may be required to provide payment and insurance information to complete the transaction.
Subscriptions: If you purchase a Subscription as a cash-pay member, you’ll be charged the monthly fee at the beginning of each month (the “Billing Cycle”). The Subscription will renew automatically until canceled. Members using insurance may be charged according to their insurance provider’s schedule, including co-pays or deductibles.
Canceling Subscriptions: You can cancel before your first scheduled consultation for a full refund. After that, no refunds will be given.
When the current billing cycle ends, the cancellation will take place.
Cancellation & No-Show Fees: MindVibe may charge up to $70 for missed appointments without 24-hour notice. Cash-pay members
may forfeit their ability to reschedule missed appointments.
Insurance: If you choose to use insurance, MindVibe may bill your insurance provider. You’ll be responsible for any fees not covered by insurance, such as co-pays or deductibles.

Use of Services
We encourage you to use the Services for personal, non-commercial purposes. By agreeing to these Terms, we provide you with a limited, personal, non-exclusive, non-transferable, and fully revocable license to access and use the Services as outlined in these Terms and any other agreements made with us. You are not granted any additional rights to the Services or any materials or content within (the “Content”). You may not modify, edit, copy, reproduce, create derivative works from, reverse engineer, alter, enhance, or exploit the Services or Content in any manner. Any violation of these Terms may result in termination of your access to the Services and/or Subscription at our sole discretion.
Member Engagement
To ensure you receive proper care and benefit fully from the Services, it’s essential to meet regularly with your Healthcare Provider(s). After enrolling in your initial treatment plan, you must meet with your psychiatric provider and therapist within 30 days via a video appointment. Following this, you are required to meet with your psychiatric provider every 180 days and with your therapist every 60 days via video. Failure to follow this engagement schedule may lead to a pause in services, including the inability to send messages to your provider through the Member Portal or complete periodic check-ins. These features will be reactivated once you schedule and attend an appointment with the Healthcare Provider(s) you are overdue to see. If you miss this scheduled appointment, access to these features will be lost again.
Prohibited Uses
You agree to not use the Services for commercial or public purposes or for: (a) violating any laws; (b) stalking, harassing, or harming another person; (c) collecting or storing personal data of other users; (d) impersonating someone or misrepresenting your affiliation; (e) interfering with the Services or related networks; (f) attempting unauthorized access to any part of the Services; or (g) recording or using A.I. transcription tools during a session without explicit authorization from your Healthcare Provider.
Intellectual Property
You acknowledge that MindVibe and its licensors hold all rights to the Site and Services. MindVibe retains all rights not explicitly granted regarding the Service. Reproduction, distribution, modification, retransmission, publication, or commercial use of copyrighted material is prohibited without written consent from MindVibe or the copyright owner.
Third-Party Sites
The Services may contain links to third-party websites. These are provided for your convenience, and we are not responsible for the content, products, or services available on these sites. You accept all risks connected with utilizing third-party websites.
Termination
You may terminate your Subscription at any time by notifying MindVibe. MindVibe reserves the right to terminate, modify, restrict, or suspend your use of the Services or your Account without notice for any reason. Termination of your Account does not entitle you to any refund, and your information or content uploaded may be deleted.
Warranty Disclaimers
The Services and Content are provided “as is” without warranty of any kind. We do not make any warranties, including those that the product is merchantable, useful for a certain reason, or not infringing. We do not guarantee that the Services will meet your needs or be error-free, secure, or available without interruption.
Clinical Disclaimer
MindVibe does not endorse any specific drugs, providers, products, procedures, or opinions mentioned through the Services. The Services provided are not always a substitute for in-person medical services and are not appropriate for emergencies.
Indemnity
You agree to indemnify and hold MindVibe, its officers, directors, employees, clinicians, and agents harmless from any claims, liabilities, or expenses, including legal fees, arising from your use of the Services or violation of these Terms.
Limitation of Liability
MindVibe and its affiliates are not liable for any indirect, incidental, or consequential damages arising from your use of the Services. Your sole remedy for dissatisfaction with the Site is to discontinue use. Our maximum liability to you will not exceed $100 USD or the fees paid for the Services in the five months preceding the event giving rise to your claim.
Applicable Law
These Terms are governed by the laws of California. Any disputes not subject to arbitration will be resolved in the courts of San Francisco County, California.
Dispute Resolution
All claims related to these Terms must be resolved through binding arbitration in Texas and California, unless otherwise agreed by both parties. You agree not to participate in any class action or representative proceeding.
Notices
MindVibe may provide notices regarding these Terms through the Site, phone, or email. By using the Services, you consent to receiving these communications electronically.
Communications
By using the Services, you agree to receive electronic communications from MindVibe, which may include transactional information, fee notices, and other related updates. While electronic communication is the primary method, MindVibe may occasionally send traditional mail for engagement purposes.
Severability
If any part of these Terms is found invalid by a court, the remaining provisions will remain in effect, and efforts will be made to uphold the intended meaning of the invalidated provision.
Waiver of Rights
Our failure to act on any breach of these Terms does not waive our right to act on similar or future breaches.
